In consideration for the opportunity to participate in the Project, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and except to the extent in conflict with any union or guild agreement which may have jurisdiction over my services in connection with the Project, I agree that: (a) except as authorized by Client or as required by law, I shall not disclose or use any information or material, that pertains in any manner to the Project, which is not the subject of general public knowledge; and (b) the results and proceeds of my services in connection with the Project shall be a "work made for hire" for Client, with all rights therein being the exclusive property of Client, or if for any reason held not to be a “work made for hire,” I hereby assign to Client all right, title, and interest in and to such results and proceeds.
